GENERAL RULES AND REGULATIONS
IMPORTANT- READ CAREFULLY- BY ACCESSING AND USING THIS EVENT REGISTRATION YOU ACCEPT AND AGREE TO THESE TERMS AND CONDITIONS
END USER LICENSE AGREEMENT FOR EVENT REGISTRANTS
This End User License Agreement (this “Agreement”) sets forth terms and conditions under which Ezra Joel Foundation (“EJF”) provides you a license to access and use its event registration website (together with any updates, the “Application”). EJF does not grant you access to the Application unless you agree to the terms of this Agreement. EJF may amend these terms at any time in its sole discretion, effective upon posting the amended terms at the domain or subdomains of www.katyagric.org where the prior version of the Agreement terms was posted. Your continued use of the Application following the posting of any modified Agreement terms shall constitute your acceptance thereof.
Proprietary Rights; Grant of License.
The application is licensed, not sold, and EJF reserves all rights not expressly granted in this agreement. All trademarks, copyrights, database rights and other intellectual property rights of any kind in the application is owned exclusively by EJF or its licensors. Subject to the terms and conditions hereof, EJF grants you a personal, nonexclusive, nontransferable, revocable license to access and use the Application for event registration purposes using your web browser.
Conditions of Use.
License Restrictions. You may not directly or indirectly: (I) make or distribute copies of the Application; (ii) modify, transfer, translate, reverse engineer, exchange, decompile, disassemble, or create derivative works of the Application; or (iii) loan, lease, sub-license or otherwise attempt to grant rights in the Application to third parties. Content. Certain data, materials, and content available within the Application (the “Content”) owned and provided by EJF to its customers, event planners, sponsors or third parties. You agree not to copy, distribute, or make any use whatsoever of the Content except as reasonably necessary for use of the application in accordance with this Agreement, and you agree to defend, indemnify, and hold EJF harmless from and against all claims, damages, costs or other liability arising from your use of the Content in violation of this Agreement.
Privacy Policy.
Any personally identifiable information you provide when using the application will be used by EJF in accordance with its Privacy Policy which may be viewed here: www.katyagric.org
Disclaimer and Limitation of Liability.
You acknowledge that the application provided over the Internet and therefore the availability of the application may be affected by factors outside of EJF’s reasonable control. EJF has no responsibility whatsoever for unavailability of the Application, or any difficulty or inability to download or access the Application or Content or for any other system failure which may result in the Application or Content being unavailable.
THE APPLICATION IS LICENSED AND PROVIDED “AS IS” AND “AS AVAILABLE,” AND EJF MAKES NO REPRESENTATIONS OR WARRANTIES ABOUT THE PERFORMANCE, RELIABILITY, ACCURACY OR SUITABILITY FOR ANY PURPOSE, OF THE APPLICATION OR THE CONTENT. EJF DISCLAIMS ALL WARRANTIES, EITHER EXPRESS OR IMPLIED, REGARDING THE APPLICATION AND ITS OPERATION, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EJF, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS OR CUSTOMERS BE LIABLE FOR ANY LOSSES OR DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE APPLICATION, NOR, WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, FOR ANY SPECIAL, INCIDENTAL, CONSEQUENTIAL OR OTHER INDIRECT DAMAGES WHATSOEVER WHICH ARISE OUT OF OR RELATE TO THE USE OR INABILITY TO USE THE APPLICATION, OR FOR ANY OTHER CAUSE OR CLAIM ARISING UNDER THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ANY CASE, EJF ENTIRE LIABILITY UNDER ANY AND ALL PROVISIONS OF THIS AGREEMENT SHALL BE LIMITED TO THE AMOUNT ACTUALLY PAID BY YOU FOR USE OF THE APPLICATION.
No legal action, regardless of form, arising out of this agreement or relating to the application or content, may be brought by you more than one year after you have knowledge of the occurrence which gives rise to the cause of such action.
Termination.
EJF may terminate this Agreement at any time at its sole discretion with or without notice to you. Upon any termination, the rights and licenses granted to you herein shall terminate; and upon notice of termination, you must cease all use of the application. Additionally, your rights under this Agreement will terminate automatically if you fail to comply with any term(s) of this agreement. All provisions which by their nature survive this agreement will survive this Agreement.
Applicable Law; Attorney’s Fees.
This agreement is governed by and will be construed in accordance with the laws of the State of Texas. The federal and state courts located within thirty miles of EJF headquarters in Texas shall have exclusive authority and venue to pass on judicially any dispute arising out of this agreement, and you expressly consent to (I) the personal authority of such courts, and (ii) service of process being affected upon you by registered mail. If any legal action is brought by you against EJF or its affiliates, directors, officers, employees, agents, or customers in connection with the Application, or arising out of this Agreement or any provision hereof, and you are not the prevailing party in such legal action, then you agree to pay the prevailing party’s reasonable attorney’s fees together with expenses and costs incurred with such action.
Acceptance of Application.
The organizer reserves the right to refuse applications from companies not meeting standard requirements or expectations and reserve the right to curtail or close stands, wholly or in part, which reflects unfavorably on the character and the purpose of the event.
Payment.
The organizer (EZRA JOEL FOUNDATION) is the sole competent and authorized company to receive a none-refundable payments for this event. Payments must be made in United States Dollars ($) By bank transfer to the order of EZRA JOEL FOUNDATION, Bank of America, NA. 222 Broadway New York, New York 10038 Swift Code: BOFAUS3N, Routing Number: 111000025, Account Number: 488106725924 (For any bank transfers you must indicate the reason for the payment on the transfer form, e.g., sponsorship, booth payment, advertising etc.) We also accept the following credit cards: VISA, MASTERCARD, DISCOVER and AMERICAN EXPRESS.
Vat.
VALUE ADDED TAX (VAT): According to the United States Tax Laws, organizers of international exhibitions and service companies must invoice all services with 8.25% (highest prevailing state + local sales tax rate) 8.25% (lowest prevailing rate)
Cancellation Conditions
All cancellations must be made in writing to info@katyagric.org The organizer Ezra Joel Foundation shall retain: 25% of the agreed amount due if the cancellation is made before 30th of August 2023. 50% of the agreed amount due if the cancellation is made between 30th of August 2023 and 28th of October 2023. After exhibition space, sponsorship or advertising have been confirmed by the organizer, a reduction, or any other kind of, is considered as a cancellation and will be governed by the above cancellation policy. As for the exhibition, a reduction in space can result in relocation of exhibit space at the discretion of the organizer.
Local and Site Regulations.
Companies shall abide by the local and site regulations with respect to law and order, safety, and security. The organizer will take appropriate action against those who do not comply with these regulations. The organizer has the authority to demand removal/change of any tools/documents/ structures which are not in accordance with the event rules or even cancel the participation of the company. The decision of the organizer will be final and binding.
Entry to the Exhibition.
Access to the exhibition will only be possible to conference participants, exhibitors, and visitors. To attend any event sessions, all participants will need to register as delegates and pay the appropriate registration fee.
Sharing of Booth Space.
Exhibitors are not permitted to share with others any booth space allotted to them without prior written consent of the organizer.
Insurance.
The company renounces to take recourse against the organizers or against the owners of the premises and undertakes to underwrite insurance policies covering all the risks incurred by the material exhibited (theft, and damage) along with public liability covering the permanent or occasional staff employed by the company, present at the event. None of the organizer’s Insurance will cover the Buyer’s activities during the event.
Failure to Occupy Space.
Exhibitors not occupying booth space by February 6th will forfeit their booth space without refund. The space may be resold or used by the organizer.
Assignment.
EJF may assign or transfer this Agreement, in whole or in part, at any time without notice to you. You may not assign this Agreement or any part of it or any rights to use the Application, in whole or in part, to any other party, and any attempt to do so shall be void.
Force Majeure.
EJF will not be in default or otherwise liable for any delay in or failure of its performance under this Agreement if such delay or failure arises by any reason beyond its reasonable control, including any act of God, criminal acts, or any acts of the common enemy, the elements, earthquakes, floods, fires, epidemics, riots, failures or delays in transportation or communications, or any act or failure to act by you.
Severability.
The various provisions and sub-provisions of this Agreement are severable and if any provision or sub-provision is held to be unenforceable by any court of competent jurisdiction then the parties agree to reduce the scope, duration, area or applicability of the term or provision, to delete specific words or phrases, or to replace any invalid, void or unenforceable term or provision with a term or provision that is valid and enforceable and that comes closest to expressing the original intention of the invalid or unenforceable term or provision.
Security.
Likewise, and especially in case of risk of harm to any person’s security (and independently from any case of force majeure), the event organizer reserves the right to change the event location and, if necessary, to move the event to another city or region other than the one initially planned. The event cancellation conditions stated below shall apply; the organizer strongly recommend that buyers subscribe adequate covers for and adequate cancellation insurance. In the event of litigation, authority falls under the State of Texas laws.
Press Conferences.
Press conferences organized by the participant/company, or its duly authorized representatives may only take place after authorized by the organizer. The organizer must be notified of any planned press conferences and all journalists must be officially registered to attend the event.
Promotion onsite.
Promotion onsite (at the event) will be within the confines of the exhibit space, and/or to the meeting rooms rented by the sponsor/exhibitor. It is completely, forbidden to distribute any documents/ gifts or any other type of goods in the communal areas of the event to promote your company. The organizer reserves the right to close their booth if the company is also exhibiting at the event. Companies holding any type of event outside the conference center without authorization will see their participation automatically cancelled without any reimbursement.
Visa and Documentation Needed to Travel to The United State of America.
It is the responsibility of the individual participant/ company to ensure having adequate information and/or entry and visa documents to travel to the United States of America the country of the event. Entry and visa information is available at: https://www.ustraveldocs.com/ It is recommended that you plan your travel in advance and that you apply for your visa early, should you need one. The organizer is NOT responsible for arranging visas. However, should you need an official invitation letter for visa application purposes, you may visit the event website to download your personalized invitation letter. No exhibition and registration fee refunds will be issued for cancellation or nonattendance due to failure to obtain a visa. In any case, the organizers cannot be held responsible for any inconvenience relating to non-observance or noncompliance to the country law, rules and regulations.
